Duncan, Weinberg, Genzer & Pembroke’s nonprofit practice group represents and provides legal counsel to incorporated and unincorporated nonprofits that are organized for educational, charitable, scientific, social welfare and business league purposes. DWGP represents charities, trade associations, and cooperatives located throughout the country that are organized under the laws of various jurisdictions, including, but not limited to the District of Columbia, Delaware, New York and California.

The Firm routinely advises non-profits on a broad range of matters including choice of business model; drafting initial organizing documents; adopting appropriate conflict of interest, whistleblower, and document retention policies; and corporate governance and board management matters. DWGP routinely assists clients with periodic regulatory filings in their incorporating state. Our attorneys also draft, review and provide advice on various business agreements including leases, employment and independent contractor agreements, and memoranda of understanding.

DWGP has also assisted clients with the merger and dissolution of nonprofits by providing advice on: the legal structure of the transaction, negotiation of agreements governing the transaction, distribution of assets, due diligence and the required corporate filings to effectuate the transaction.

In addition, we have served as general counsel to several associations, providing not only legal expertise, but long-term historical knowledge of the organization. In the energy and environmental areas, the Firm’s many decades of representation has included support for the substantive work of the associations, ranging from specific policy and program development to work with governmental entities.
